TERMS AND CONDITIONS

1. INTRODUCTION
These Terms and Conditions govern all services provided by Mel Global Connect (“the Company”, “we”, “our”, or “us”), including but not limited to:
- Website Design and Development
- Website Hosting and Maintenance
- E-commerce Development
- Social Media Management
- Branding and Graphic Design
- Printing Services
- Digital Marketing Services
- Domain Registration and Management
By engaging our services, the Client agrees to be bound by these Terms and Conditions.
2. QUOTATIONS AND ACCEPTANCE
2.1 All quotations issued by Mel Global Connect remain valid for thirty 7 working days unless otherwise stated.
2.2 Acceptance of a quotation, invoice, payment request, or commencement of work constitutes acceptance of these Terms and Conditions.
2.3 Any additional work requested outside the original quotation will be charged separately.
3. DEPOSITS AND COMMENCEMENT OF WORK
3.1 No work shall commence until the required deposit has been received and cleared.
3.2 Deposits are required due to previous instances where completed work was not collected, approved, or paid for by clients.
3.3 Deposits are non-refundable once work has commenced.
3.4 Failure to provide required content, approvals, or information may delay project completion timelines.
4. WEBSITE DEVELOPMENT SERVICES
4.1 Mel Global Connect will develop websites according to the agreed project scope.
4.2 The Client shall provide all required content, including text, images, logos, contact information, and other materials necessary for the website.
4.3 Project timelines may be extended where delays are caused by the Client’s failure to provide information, approvals, or content.
4.4 Any changes requested after approval or project completion may attract additional charges.
5. WEBSITE HOSTING, DOMAIN MANAGEMENT & WEBSITE BACKEND LOGINS
Websites Hosted by Mel Global Connect
5.1 Where a website is developed and hosted under Mel Global Connect’s hosting infrastructure or third-party hosting accounts managed by us, Mel Global Connect shall:
- Manage the hosting environment.
- Maintain website functionality.
- Perform necessary plugin updates.
- Perform software maintenance when required.
- Monitor website uptime where reasonably possible.
- Assist in resolving hosting-related technical issues.
5.2 Our hosting and maintenance services are intended to keep websites secure, active, and operating smoothly with minimal interruption.
5.3 While every effort is made to maintain uninterrupted service, Mel Global Connect cannot guarantee 100% uptime due to factors beyond our control including internet outages, data center failures, cyber-attacks, or third-party service interruptions.
5.4 Clients will be given all the website backend logins to be able to access their backends and have full control of the website content, including additions, edit, upload and viewing orders.
5.5 If a client has no knowledge and skills to use the backend of the website, they need to ask a professional or skilled person to assist because Mel Global Connect wont be held responsible for the mess on the website caused by a client, and Mel Global Connect will charge a client to fix all the mess caused by a client during the attempt of changing content, edit or uploading products.
5.6 Clients can still ask Mel Global Connect for a change of content, updates, edits, and uploading more products, all that will be invoiced.
Client-Owned Hosting Accounts
5.4 Where a Client chooses to use their own hosting provider and only contracts Mel Global Connect for website development:
- Mel Global Connect’s responsibility shall be limited to website development only.
- We shall not be responsible for hosting-related errors, server failures, email failures, downtime, database issues, SSL certificate issues, DNS issues, hosting suspensions, bandwidth limitations, or any other problems arising from the Client’s hosting provider.
- Any assistance requested for third-party hosting issues may be billed separately at our standard support rates.
5.5 Full hosting support shall only be available for websites hosted under Mel Global Connect’s managed hosting services.
6. MONTHLY/YEARLY WEBSITE FEES, SUBSCRIPTIONS AND NON-PAYMENT
6.1 Monthly/Yearly hosting, maintenance, support, or subscription fees are payable in advance unless otherwise agreed.
6.2 Failure to make payment by the due date shall result in the outstanding balance carrying over to the next month.
6.3 If a Client fails to pay for two consecutive billing periods, the website, domain, hosting account, emails, and related services may be classified as abandoned.
6.4 Once classified as abandoned, the account will enter a termination process.
6.5 The Client will be notified before termination proceedings commence.
6.6 If the outstanding amount remains unpaid, the hosting account, website, emails, databases, backups, and associated services may be permanently terminated within thirty (30) days after the termination process has commenced.
6.7 Once termination has occurred, Mel Global Connect shall not be obligated to retain any website files, emails, backups, or databases.
6.8 Should the Client later request restoration or redevelopment of the website after termination, a completely new website development fee shall apply and the project shall be treated as a new website build from scratch.
6.9 By making a subcription payment you automatically allowing recurring payment for the product or services you have selected. the subscription can be cancelled anytime.
7. E-COMMERCE / ONLINE STORE WEBSITES
7.1 Clients requesting an e-commerce or online store website must provide:
- Product images
- Product descriptions
- Product prices
- Product categories
- Product variations where applicable
7.2 The accuracy of product information remains the sole responsibility of the Client.
7.3 Standard e-commerce packages include the upload of up to fifty (50) products unless otherwise stated in writing.
7.4 Uploading products beyond the included product limit shall incur additional charges per product uploaded.
7.5 Product uploads performed after website launch may also attract additional charges.
8. WEBSITE CONTENT RESPONSIBILITY
8.1 The Client warrants that all content supplied to Mel Global Connect:
- Is lawful.
- Does not infringe intellectual property rights.
- Does not violate any applicable laws.
- Does not contain defamatory, offensive, or misleading material.
8.2 The Client indemnifies Mel Global Connect against any claims arising from supplied content.
9. PRINTING SERVICES
9.1 All artwork proofs shall be submitted to the Client for review and approval before printing.
9.2 It is the Client’s responsibility to carefully check:
- Spelling
- Grammar
- Contact information
- Measurements
- Product details
- Layout approval
9.3 Approval of artwork constitutes acceptance of the design as final.
9.4 Mel Global Connect shall not be responsible for spelling mistakes, incorrect information, or errors approved by the Client.
9.5 Where a reprint is required due to Client-approved errors, the Client shall be responsible for all reprint costs.
9.6 Reprints due to production defects directly caused by Mel Global Connect may be considered at our discretion.
10. SOCIAL MEDIA MANAGEMENT & GOOGLE CAMPAIGNS
10.1 Clients must provide accurate business information, images, branding materials, and approvals when requested.
10.2 By agreeing to work with us, simply means a client trusts our decisions in scheduling posts, designs and the entire runining or social media platforms.
10.3 Marketing results may vary depending on market conditions, competition, audience behavior, and advertising budgets.
10.4 Client must sign an agreement contract and the duration of the social media management they require from Mel Global Connect, and if a client wants to terminate the contract before the agreed duration, such termination must be notified 30 days perior and 30% cancellation fee from the social media management will be charged, however if the client waits untill the agreed duration ends and decides not to renew the contract, they wont be charges applied.
10.5 All clients will be responsible to pay google campaigns direct from their bank accounts, we will only charge a service we offer to ensure the professional setup and run for the google campaign, But companies has an option of asking Mel Global Connect to make payments for full and charge for full service.
11. BRANDING AND DESIGN SERVICES
11.1 Design concepts remain the intellectual property of Mel Global Connect until full payment has been received.
11.2 Final approved designs will be supplied in the agreed formats upon settlement of outstanding balances.
11.3 Source files may incur additional charges unless otherwise agreed.
12. PRODUCT IMAGE UPLOAD & WEBSITE UPGRADE
Initial Product Upload Allocation
12.1 Mel Global Connect will upload a maximum of fifty (50) products during the initial eCommerce website setup.
12.2 The upload service includes:
- Product titles
- Product descriptions
- Product prices
- Product variations (where applicable)
- Standard product images supplied by the client
12.3 Any additional product uploads exceeding the initial fifty (50) products will be charged separately.
13. Additional Product Upload Charges
13.1 Additional product uploads beyond the included fifty (50) products will incur additional fees determined by Mel Global Connect.
13.2 Additional images uploaded for products above the allocated limit will also be charged per image.
13.3 A discount of thirty percent (30%) will apply when the client uploads more than ten (10) additional products.
13.4 The 30% discount will apply for every additional batch of ten (10) products uploaded.
14. Product Upload Services for External Websites
14.1 Mel Global Connect also provides product upload services for clients whose websites were not developed by Mel Global Connect.
14.2 Clients must provide valid and working backend/admin login credentials to enable product upload services.
14.3 Mel Global Connect will not be held responsible for delays or failures caused by incorrect or restricted backend access.
15. Client Responsibility for Product Images
15.1 The client is solely responsible for ensuring that all images submitted for upload are correct, approved, and of acceptable quality.
15.2 Once products and images have been uploaded and approved by the client, any request to:
- Remove images,
- Replace images,
- Add new images, or
- Re-upload corrected content
will be subject to additional charges.
15.3 Mel Global Connect shall not be liable for errors resulting from incorrect images or information supplied by the client.
16. Website Upgrades and Additional Changes
16.1 Any future website upgrades or modifications requested by the client will be charged separately.
16.2 Chargeable upgrades include, but are not limited to:
- New banners
- Website slides/sliders
- Additional images
- Content updates
- New pages
- New features
- Plugin installations
- Plugin upgrades
- Functional enhancements
16.3 Upgrade pricing will depend on the scope and complexity of the requested changes.
17. PAYMENT TERMS
17.1 All invoices are payable on or before the due date specified.
17.2 Late payments may result in suspension of services.
17.3 Mel Global Connect reserves the right to charge interest, collection fees, legal fees, and administrative costs incurred in recovering outstanding balances.
18. PROJECT ABANDONMENT
18.1 If a Client becomes unresponsive for more than sixty (60) days during a project, the project may be deemed abandoned.
18.2 Any future continuation of the project may be subject to new quotations and revised pricing.
19. LIMITATION OF LIABILITY
19.1 Mel Global Connect shall not be liable for:
- Loss of profits
- Business interruption
- Loss of data
- Loss of revenue
- Third-party service failures
- Cyber-attacks
- Delays beyond our reasonable control
19.2 Our liability shall be limited to the amount paid by the Client for the specific service giving rise to the claim.
20. CONFIDENTIALITY
20.1 Both parties agree to maintain confidentiality regarding proprietary information disclosed during the course of business.
20.2 Confidential information shall not be disclosed to third parties except where required by law.
21. INTELLECTUAL PROPERTY
21.1 Upon full payment, ownership of final approved deliverables shall transfer to the Client unless otherwise agreed.
22.2 Mel Global Connect reserves the right to display completed projects in its portfolio and marketing materials unless otherwise agreed in writing.
23. FORCE MAJEURE
Mel Global Connect shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to:
- Natural disasters
- Power outages
- Internet disruptions
- Government actions
- Cyber-attacks
- Pandemic-related disruptions
24. GOVERNING LAW
These Terms and Conditions shall be governed and interpreted in accordance with the laws of the Republic of South Africa.
Any disputes arising from these Terms shall be subject to the jurisdiction of South African courts.
25. AMENDMENTS
Mel Global Connect reserves the right to amend these Terms and Conditions at any time. Updated versions shall become effective upon publication on our website.
26. REVISIONS AND DESIGN CHANGES
26.1 Quotations include a reasonable number of revisions as specified in the project proposal.
26.2 Excessive revisions or substantial changes to approved concepts may incur additional charges.
26.3 Once a design or website section has been approved, further modifications may be treated as new work.
27. CONSULATION FEE/MEETING REQUEST
27.1 Consultations for site visits, inspections, wedding venue viewing, website discussion or any projects will be charged. charges inlcude: – Fuel Costs, Bol/Uber Costs, Accomodation if Necessary.
27.2 Consultation fee will be depsited before meeting with a client.
28. WHY PAY FOR CONSULTATION FEE/MEETING REQUEST?
28.1
- Travel and Time Costs: Meeting in person requires travel, time away from other paying clients, and preparation, which are legitimate business costs.
- Committed Engagement: It filters out non-serious inquiries and ensures that both the client and the professional are equally invested in the project’s success.
- Unbiased Advice: Charging for the meeting allows the professional to give you an honest, objective assessment rather than just telling you what you want to hear in order to win a free contract.
29. No Obligation to Proceed
29.1 Payment of a consultation fee does not guarantee project approval, commencement, or acceptance by either party.
29.2 Both Mel Global Connect and the Client reserve the right not to proceed with a project after the consultation has been completed.
